NDA Agreement
Non-Disclosure Agreement for Simculix Platform Users
Important Notice
This NDA is automatically applied to all users when creating a Virtual Company. By proceeding, you agree to these terms.
1. Definition of Confidential Information
"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), including but not limited to:
- Technical data, trade secrets, and know-how
- Product designs, schematics, and specifications
- Business plans, strategies, and financial information
- Customer lists and vendor relationships
- Project details and milestone deliverables
2. Obligations of Receiving Party
The Receiving Party agrees to:
- Hold all Confidential Information in strict confidence
- Not disclose Confidential Information to any third party without prior written consent
- Use Confidential Information solely for the purpose of fulfilling project obligations on the Platform
- Protect Confidential Information using at least the same degree of care used to protect its own confidential information
- Limit access to Confidential Information to employees and contractors with a need to know
3. Exclusions
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the Receiving Party
- Was rightfully in the Receiving Party's possession prior to disclosure
- Is independently developed by the Receiving Party without use of Confidential Information
- Is rightfully obtained from third parties without restriction
4. Project-Specific NDAs
In addition to this general NDA, clients may require additional project-specific NDAs for particularly sensitive projects. Virtual Companies and their members must comply with all such additional agreements.
5. Intellectual Property
- All intellectual property developed specifically for a project belongs to the client per the project agreement
- Pre-existing intellectual property remains the property of the original owner
- Simculix does not claim ownership of any user-generated content
6. Term and Termination
This NDA remains in effect for the duration of your account membership and for a period of 3 years following the termination of your account. Confidentiality obligations survive termination.
7. Remedies
The Receiving Party acknowledges that breach of this NDA may cause irreparable harm for which monetary damages may be inadequate. The Disclosing Party is entitled to seek equitable relief, including injunction and specific performance, in addition to other remedies.
