Talent NDA Agreement

1. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed through Simculix, including technical data, trade secrets, product designs, schematics, business plans, customer lists, project details, milestone deliverables, and manufacturing specifications.

2. Your obligations

• Hold all Confidential Information in strict confidence
• Not disclose Confidential Information to third parties without prior written consent
• Use Confidential Information only to fulfill obligations on the Simculix platform
• Protect information with reasonable care, at least equal to your own confidential data
• Limit access to employees and contractors who need to know and are bound by confidentiality

3. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of the receiving party
• Was already in your possession prior to disclosure
• Is independently developed without use of Confidential Information
• Is rightfully obtained from a third party without restriction

4. Project-specific NDAs

Clients may require additional project-specific NDAs for sensitive work. You must comply with all such agreements in addition to this platform NDA.

5. Intellectual property

• Work product developed for a project belongs to the client per the project agreement
• Pre-existing intellectual property remains with the original owner
• Simculix does not claim ownership of user-generated content

6. Term

This NDA remains in effect while your account is active and for three (3) years after account termination. Confidentiality obligations survive termination.

7. Remedies

Breach may cause irreparable harm. The disclosing party may seek equitable relief, including injunction, in addition to other remedies available at law.
