1. Acceptance of Terms
By accessing and using Simculix ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you should not use the Platform.
2. Description of Service
Simculix is a B2B engineering platform that connects clients with Virtual Companies (VCs), engineers, and OEM manufacturing partners. The Platform facilitates project-based collaboration through milestone-based payments and escrow protection.
3. User Accounts and Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account
- You must be at least 18 years old to use the Platform
- You agree to notify us immediately of any unauthorized use
4. Virtual Company Terms
When creating a Virtual Company on Simculix:
- You agree to the VC Subscription Terms and pricing
- You are responsible for all activities under your VC account
- You must ensure your team members comply with these terms
- VC subscription fees are billed monthly in advance
5. Intellectual Property
All content, trademarks, and data on the Platform are the property of Simculix or its licensors. You retain ownership of intellectual property you submit to the Platform but grant Simculix a license to use, display, and distribute such content for Platform purposes.
6. Escrow and Payments
- Funds are held in escrow until milestone completion is approved
- Simculix charges a platform fee on completed transactions
- Disputed funds may be held pending resolution
- All payments are processed in USD equivalent
7. Limitation of Liability
Simculix provides the Platform "as is" without warranties of any kind. We do not guarantee the accuracy of user-generated content or the quality of work performed between users.
8. Termination
We may suspend or terminate your account if you violate these terms or engage in fraudulent activity. Upon termination, you will lose access to your VC dashboard and any pending projects.
